NioGold Announces $4,000,000 Private Placement

Vancouver, BC – January 30, 2013. NioGold Mining Corporation (TSX-V:NOX) (“NioGold” or the "Company") is pleased to announce that it has arranged a brokered private placement of up to 7,550,000 flow-through shares ("FT Shares") at a price of $0.54 per share for gross proceeds of up to $4,077,000.
Salman Partners Inc. will act as the lead agent for the offering and will receive a cash commission of 6.5% of the gross proceeds from the sale of the FT Shares.
The offering remains subject to the approval of the TSX Venture Exchange. All securities issued pursuant to the private placement will be subject to a four-month hold period under Canadian securities laws. These securities have not been and will not be registered under the United States Securities Act of 1933, as amended, or the securities laws of any state, and may not be offered or sold in the United States or to or for the account or benefit of a U.S. person.
